Recent public relations debacles at the University of Virginia and Penn State surrounding decisions made by the institutions’ boards of directors illustrate the potential legal and publicity pitfalls that can arise when members of such boards are not well versed in the laws that apply to their volunteer positions.  This CLE will review multiple case studies to illustrate and explore ethical issues that may arise during the course of service on a nonprofit board as well as their legal implications under federal and Wisconsin law.  Such issues often involve approval of executive compensation, the duties of care and loyalty to the organization, and conflicts of interest.  This program should be of interest to Wisconsin attorneys who serve on nonprofit boards as well as attorneys who represent nonprofit clients.
