{"id":21332,"date":"2013-09-23T14:30:45","date_gmt":"2013-09-23T19:30:45","guid":{"rendered":"http:\/\/law.marquette.edu\/facultyblog\/?p=21332"},"modified":"2013-09-23T14:30:45","modified_gmt":"2013-09-23T19:30:45","slug":"sec-issues-rule-on-ceo-to-worker-pay-ratio-disclosures","status":"publish","type":"post","link":"https:\/\/law.marquette.edu\/facultyblog\/2013\/09\/sec-issues-rule-on-ceo-to-worker-pay-ratio-disclosures\/","title":{"rendered":"SEC Issues Rule on CEO-to-Worker Pay Ratio Disclosures"},"content":{"rendered":"<p><a href=\"http:\/\/law.marquette.edu\/facultyblog\/wp-content\/uploads\/2012\/07\/money_bag_svg.png\"><img loading=\"lazy\" decoding=\"async\" class=\"alignleft size-full wp-image-17837\" alt=\"money_bag_svg\" src=\"http:\/\/law.marquette.edu\/facultyblog\/wp-content\/uploads\/2012\/07\/money_bag_svg.png\" width=\"102\" height=\"120\" \/><\/a>Last week, the Securities and Exchange Commission (SEC) released a rule requiring companies to disclose the CEO-to-worker pay ratio.\u00a0 Despite objections by many corporations, the rule covers <em>all<\/em> employees including seasonal, international, and part-time workers.\u00a0 The SEC provides companies the option of using the entire workforce or a representative sample in the calculation.<\/p>\n<p>There will now be a 60-day comment period.\u00a0 The SEC voted for the rule 3-2, with the two Republican Commissioners who voted against the proposal calling it a special interest provision and proclaiming \u201cshame on the SEC.\u201d<\/p>\n<p>Proponents of the rule argue that it will give shareholders and other stakeholders a clear line of sight into human capital management and worker pay.\u00a0 <!--more-->For instance, <a href=\"http:\/\/www.calpers.ca.gov\/index.jsp?bc=\/about\/press\/pr-2013\/sept\/disclosure-ratios.xml\">CalPERS<\/a>, the California State Pension Plan, has issued a release, welcoming the rule as a valuable tool which will \u201chelp shareholders to keep management accountable\u201d and \u201cshed light on an element of pay which is currently shrouded from view.\u201d\u00a0 John Liu, the <a href=\"http:\/\/comptroller.nyc.gov\/newsroom\/nyc-comptroller-liu-statement-on-sec-proposed-pay-ratio-disclosure-rule\/\">NYC Comptroller<\/a>, stated that the rule would allow \u201cshareowners to make informed decisions about compensation and may rein in excessive corporate practices.\u201d<\/p>\n<p>Numerous news outlets have covered this story, including the <a href=\"http:\/\/online.wsj.com\/article\/SB10001424127887323808204579083132977710974.html\" target=\"_self\">Wall Street Journal<\/a>, <a href=\"http:\/\/www.bloomberg.com\/news\/2013-09-17\/ceo-to-worker-pay-ratio-disclosure-proposal-to-be-issued-by-sec.html\" target=\"_self\">Bloomberg<\/a>, and the <a href=\"http:\/\/dealbook.nytimes.com\/2013\/09\/18\/s-e-c-proposes-new-rule-on-pay-disclosure\/?_r=0\" target=\"_self\">New York Times<\/a>.\u00a0 Things are only going to get more interesting from here on out.<\/p>\n<p>From my point of view, and quoting Justice Brandeis, &#8220;Publicity is justly commended as a remedy for social and industrial diseases.
